Choosing a Structure

Four questions that decide your structure

How many owners?

One owner points to a proprietorship or OPC; two or more to a partnership, LLP or company.

Do you need limited liability?

Companies and LLPs protect personal assets; proprietorships and partnerships don’t.

Will you raise investment?

Investors and many large buyers expect a private limited company.

How much compliance can you handle?

Companies have the most filings, LLPs fewer, and proprietorships the least.

Quick Answers

Common questions about company incorporation in India

There is no single best structure. A private limited company suits businesses that want to raise investment or appear larger to buyers. An LLP suits professional and family businesses wanting limited liability with lighter compliance. A proprietorship is quickest for one owner starting small.
Usually 7 to 15 working days from complete documents, depending on name approval and MCA processing.
MCA charges no filing fee for incorporating a company with authorised capital up to ₹15 lakh. Stamp duty on the MoA and AoA depends on the state, and DSCs are a separate cost.
Yes. Most sectors allow 100% foreign ownership under the automatic route. At least one director must be resident in India, and foreign investment must be reported under FEMA.
No. A residential address can be the registered office, with a recent utility bill and a no-objection certificate from the owner.
Since December 2025, a private company with paid-up capital up to ₹10 crore and turnover up to ₹100 crore is a small company, which brings lighter compliance.
